Terms of Service

These terms govern the use of the ShieldAI compliance-training and AI-safety platform by companies. They are business-to-business terms; ShieldAI is not offered to consumers.
Scope
These terms apply between ShieldAI and the company that subscribes to the platform (the Customer), and they cover the platform, the training content and this website.
Where an individual order form, offer or framework agreement has been signed, that document prevails over these terms in the event of a conflict.
What the platform provides
Access to the ShieldAI training modules and their quizzes, downloadable completion certificates, the AI Prompt Simulator, the AI Prompt Shield, the AI Tool Registry, and the administrator compliance dashboard.
The platform is developed continuously. We may add, change or retire individual features, but we will not materially reduce the agreed scope during a paid term without notice.
Accounts and access
The Customer decides who is enrolled and is responsible for keeping access codes, passwords and administrator accounts confidential.
Accounts are personal. Sharing one account between several employees defeats the completion records the platform exists to produce.
Customer responsibilities
The Customer supplies accurate employee data, informs its employees about the training as its own employment-law rules require, and keeps its own AI policy up to date.
The Customer remains responsible for how its employees use AI tools. ShieldAI trains, measures and warns; it does not supervise.
Acceptable use
The platform may not be used to break the law, to attack the service or other users, to reverse-engineer or resell the training content, or to upload material the Customer has no right to upload.
Training videos, scenarios and quiz content may not be downloaded in bulk, redistributed, or used to train other models.
Training content, certificates and the limits of both
The training explains the obligations that follow from the EU AI Act and from good data practice. It is educational material, not legal advice, and it does not replace advice from qualified counsel on the Customer's specific situation.
A certificate issued by the platform records that a named person completed a named module on a named date and passed its quiz. It is internal evidence of training, useful in an audit; ShieldAI is not an accredited certification body and the certificate is not a state-recognised qualification.
Prompt Shield reduces the risk of sensitive data leaving in a prompt. No detection system catches everything, and using it does not transfer responsibility for a leak to ShieldAI.
Availability and support
We aim for continuous availability and carry out planned maintenance outside business hours where possible. Any agreed service level is set out in the order form.
Support runs on business days at support@shielda.io and requests are triaged by impact.
Fees
Fees, billing period and term are agreed individually and recorded in the order form or offer. Nothing on this website is a price list or a binding offer.
Unless agreed otherwise, invoices are payable within the period stated on the invoice; late payment may lead to suspension after written notice.
Intellectual property
The platform, the training videos, the scenario library, the quiz questions and the brand remain the property of ShieldAI. The Customer receives a non-exclusive, non-transferable right to use them for internal training during the term.
Data the Customer enters, and the records generated from it, remain the Customer's.
Data protection
Personal data processed inside the platform is processed on the Customer's instructions under a data processing agreement, which forms part of the contract. The detail is in the Privacy Policy.
Each party complies with the GDPR in its own role.
Liability
Each party is liable without limitation for intent and gross negligence, for personal injury, and wherever liability cannot be limited by law.
Otherwise liability is limited to foreseeable damage typical of this kind of contract, capped at the fees paid in the twelve months before the event. ShieldAI is not liable for indirect or consequential loss, for lost profit, or for regulatory fines imposed on the Customer for its own conduct.
The precise limits are agreed in the order form.
Term and termination
Term and notice periods are set in the order form. Either party may terminate for cause at any time, in particular for a material breach that is not cured within a reasonable period after written notice.
On termination, access ends and the Customer's data is exported, returned or deleted as agreed. Certificates already issued remain valid records of a completed training.
Changes to these terms
We may amend these terms with reasonable notice, in writing or by e-mail to the Customer's administrator. If an amendment materially disadvantages the Customer, the Customer may terminate the affected term with effect from the date the change takes effect.
Governing law and jurisdiction
Governing law and the competent court are set in the order form. In the absence of such a provision, the law at the seat of ShieldAI applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
